Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Anurag Angara, doing business as ParkWalk (“ParkWalk,” “we,” “us”), based in New York, New York. By creating an account, clicking to accept, or using ParkWalk, you agree to these Terms. If you do not agree, do not use ParkWalk.

Most customers are organizations. If you accept these Terms on behalf of a company, team, or other entity (your Organization), you represent that you are authorized to bind that Organization, and “you” means both you and the Organization. If you sign up as an individual for your own use, “you” means you personally, and references to an Organization apply to your individual account.

You must be at least 18 years old and able to form a binding contract to use ParkWalk.

A few terms are used throughout, capitalized:

• Organization — the workspace (org) that owns accounts, connectors, billing, and settings, and to which members belong.
• Task — a definition you create: a named goal, the connectors it may use, and a workflow of typed blocks an agent runs.
• Walk — a grouped run of one or more Tasks that you start.
• Agent — the automated system that executes a Task’s workflow, including reading, deciding, and taking actions in connected systems on your behalf.
• Connector — an integration you configure that lets an Agent access and act in a third-party service (for example Stripe, Okta, GitHub, or Slack).
• Model provider — the source of the AI models an Agent uses: your own keys (BYOK), ParkWalk’s platform keys, the ParkWalk fleet of hosted models, or a custom provider you configure.
• Output — content, decisions, and actions an Agent produces or performs.

ParkWalk lets you define Tasks, group them into Walks, and run Agents that carry out those Tasks — including taking actions in the third-party systems you connect. We provide the platform, the orchestration, review and intervention controls, and the model routing described in these Terms. We may change, add, or remove features over time; if a change materially reduces core functionality you pay for, Section 15 governs notice.

Your account and members

You are responsible for your Organization’s accounts, the members and roles you grant, and all activity under them. You must keep credentials secure and notify us promptly at admin.parkwalk@gmail.com if you suspect unauthorized access. Administrators are responsible for the connectors they enable, the scopes they grant, and the settings (including safety controls) they choose for their Organization.

Your responsibility for configuration

ParkWalk does what you configure it to do. You are responsible for the Tasks you define, the connectors and scopes you authorize, the intervention and review settings you choose, and the Walks you start. See Section 4.

This is the most important section. ParkWalk’s Agents can take real, sometimes irreversible actions in the systems you connect — for example issuing a refund, changing a user’s access, publishing content, or deleting a resource. You are responsible for those actions.

You direct and authorize agent actions

When you define a Task, enable a Connector, grant it scopes, and start a Walk, you are directing and authorizing the Agent to act on your behalf within what you configured. Any action an Agent takes within that configuration is deemed authorized by you, whether or not you anticipated the specific action. You are responsible for reviewing what you enable before you run it.

Safety controls we provide — and your duty to use them

We give you controls to keep humans in the loop. You decide how to use them, and you bear the consequences of how you configure them:

• Intervention policies. You can require an Agent to pause and check with a person before an action (check with user), always allow it, or always disallow it. The default posture for sensitive actions is to check with a person.
• Review and approval. Walks can enter a review state where a person approves, sends back, or dismisses an execution before it stands.
• Scope ceilings. Administrators can cap what any subject may do per connector interface, so an Agent can never exceed the ceiling you set.
• Stop controls. You can stop in-flight work.

These controls reduce risk; they do not remove it. Because Agents act autonomously and rely on AI models and third-party systems, they can make mistakes, act on imperfect information, or produce unintended results. You must not use ParkWalk for actions whose consequences you are unwilling to bear, and you must apply human oversight appropriate to how consequential the action is.

ParkWalk offers integrations with many third-party services (currently over 180, across categories such as payments, security and identity, AI and data, communications, CRM, HR, cloud, and developer tools). ParkWalk is a conduit; the third parties are not ours.

• You represent you have the right to connect. For every Connector you enable and every scope you grant, you represent that you are authorized to connect that account and to permit the actions you allow, and that doing so does not violate the third party’s terms or anyone’s rights.
• Third-party terms still govern. Your use of each connected service remains subject to that service’s own terms and policies, which we do not control. If a third party changes, limits, or discontinues access, or an Agent action is rejected or reversed by them, that is between you and that third party.
• We are not responsible for third parties. We are not liable for the availability, accuracy, security, or actions of third-party services, or for what happens in them as a result of actions you authorized.

You own your data. As between you and ParkWalk, you own the content you submit and the Outputs generated for your Organization (Customer Data). You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to operate and support the service for you, and as otherwise permitted in these Terms.

Training and data-use consent

ParkWalk captures signals about how Agents perform so the product can improve. You control how that data may be used through your Organization’s training consent setting:

• none — operational use only; your data powers your own Organization’s features (such as its dashboards and memory) and nothing more.
• org_only (default) — your data may also improve artifacts scoped to your Organization, such as its memory and routing rules, but is never pooled across organizations.
• cross_org — you additionally allow your de-identified data to be pooled into shared benchmarks and model tuning that benefit the broader platform.

You can change this setting at any time; changes apply going forward. Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

ParkWalk runs on AI models, which are probabilistic. Outputs may be inaccurate, incomplete, or unsuitable for your purpose, and the same input can produce different results. We do not warrant that Outputs are correct, and you must not rely on them for consequential decisions or actions without appropriate human review.

Depending on your configuration, models are provided through your own keys (BYOK), ParkWalk’s platform keys, the ParkWalk fleet of hosted models, or a custom provider you configure. If you use your own keys or a custom provider, you are responsible for your agreement with that provider, its costs, its terms, and its handling of any data you send to it. When you use ParkWalk’s platform keys or fleet, usage is metered and subject to the plan limits in Section 9.

You agree not to use ParkWalk, or configure any Agent, to:

• break the law, infringe others’ rights, or violate a third party’s terms;
• access systems or data you are not authorized to access, or exceed authorization you were given;
• send spam or unsolicited bulk messages, or harass, deceive, defraud, or harm others;
• generate or distribute malware, or attempt to disrupt, overload, probe, or circumvent the security of ParkWalk or any connected system;
• take actions designed to evade detection, safety controls, budgets, or scope ceilings;
• build weapons, surveil people unlawfully, or target individuals or groups for harm; or
• resell or provide the service to third parties except as expressly permitted.

You are responsible for ensuring your Agents operate within these limits. We may investigate suspected violations and take action under Section 10, including suspending affected Agents or accounts.

ParkWalk is offered on the plans below. Prices and limits shown reflect current defaults and may change under Section 15. The free Starter plan does not require a payment card. Paid plans require a valid payment method, and it must remain on file while you use paid-plan features.

Billing terms

• Processor. Payments are processed by Stripe. By providing a card you authorize us and Stripe to charge applicable fees and store your payment method.
• Metering & budgets. On ParkWalk keys, usage is metered. When a plan or budget limit is reached, Agents may switch models, pause, or stop, and functionality may be limited until the next period or an upgrade.
• Renewal & changes. Paid plans renew for successive periods until cancelled. If you add seats or exceed included usage, additional fees may apply. We may change prices with notice under Section 15; changes take effect on your next renewal.
• Taxes. Fees are exclusive of taxes; you are responsible for applicable taxes other than taxes on our income.
• Non-payment. If a charge fails or an account is past due, we may suspend the service under Section 10.
• Refunds. Except where required by law or expressly stated, fees are non-refundable. Downgrading or cancelling stops future charges but does not refund the current period.

These Terms apply while you use ParkWalk. You may stop using the service and close your account at any time; cancellation takes effect at the end of your current billing period.

We may suspend or limit the service (in whole or in part, including specific Agents or connectors) if we reasonably believe it is necessary to: prevent harm, security risk, or misuse; comply with law; protect a third-party system; or address non-payment. Where practical, we will give notice; where the risk is urgent, we may act first and notify after.

We may terminate these Terms or your account for material breach that is not cured within a reasonable time, or immediately for serious violations of Section 8. On termination, your right to use ParkWalk ends and in-flight Agents stop. For a reasonable period after termination we will make Customer Data available for export, after which we may delete it in the ordinary course. Provisions that by their nature should survive (including Sections 6, 11, 12, 13, 14, and 15) survive termination.

ParkWalk is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the service will be uninterrupted, error-free, or secure, that Agent Outputs or actions will be accurate or fit for your purpose, or that connected third-party services will remain available. You are responsible for evaluating whether ParkWalk is appropriate for your use and for maintaining your own backups and safeguards.

To the fullest extent permitted by law:

• No indirect damages. Neither party is liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill.
• Liability cap. Our total liability arising out of or relating to the service and these Terms will not exceed the total fees you paid to ParkWalk in the 12 months before the event giving rise to the claim. Note for review: this caps liability at fees only, with no minimum floor. For a free-plan user who paid nothing, the cap approaches zero. That is intentional and maximally protective, but a small number of courts scrutinize a near-zero cap — worth confirming with counsel, or adding a nominal floor (e.g. US$100).
• Agent actions and connected systems. Because Agents act on your direction in systems you control and authorize, we are not liable for the results of actions an Agent takes within your configuration — including actions in third-party services, transfers of money, changes to access, publication, or deletion. That risk sits with you as the party who configured and authorized the action.

Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you. Nothing in these Terms limits liability that cannot be limited by law.

You will defend, indemnify, and hold harmless ParkWalk from and against third-party claims, and related losses and reasonable costs, arising out of: your Customer Data; your use of the service; the actions you configured Agents to take and the connectors and scopes you authorized; your violation of these Terms or applicable law; or your violation of a third party’s rights or terms. We will notify you of the claim, let you control the defense (with our reasonable cooperation), and not settle in a way that admits your fault without your consent.

ParkWalk, including its software, models routing, design, and brand, is owned by us and our licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the service; we reserve all rights not expressly granted. You keep all rights in your Customer Data.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them to improve the service, without obligation to you.

Changes to these Terms

We may update these Terms. For material changes, we will give reasonable notice (for example by email or in-product) before they take effect. Your continued use after the effective date means you accept the updated Terms; if you do not agree, stop using ParkWalk before then.

Governing law & venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. The exclusive venue for disputes is the state and federal courts located in New York County, New York, and you and we consent to that jurisdiction. If you later add binding arbitration or a class-action waiver, place it here and have counsel review it for your jurisdiction and customer type.

Assignment to a future entity

You agree that we may assign these Terms, and transfer the accounts and data governed by them, to a company or other entity that we later form or that acquires the ParkWalk business, without further consent, provided that entity assumes these Terms. We will let you know if that happens.

• Entire agreement. These Terms, the Privacy Policy, and any order or plan you accept are the entire agreement between us and supersede prior discussions on their subject.
• Severability. If any provision is unenforceable, the rest stays in effect and the provision is limited to the minimum extent necessary.
• No waiver. Not enforcing a provision is not a waiver of it.
• Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
• Your assignment. You may not assign these Terms without our consent, except to a successor of your business that assumes them.
• Notices. We may send notices to the email on your account or post them in-product; send notices to us at admin.parkwalk@gmail.com.
• Relationship. The parties are independent contractors; these Terms create no agency, partnership, or joint venture beyond the authorization you give Agents to act for you as described in Section 4.
